Terms of sale
These terms apply to every order on topdigitallab.com. They set out what we deliver, what it costs, how you pay and what happens if something changes. Prices are in euros excluding VAT. Consumers have extra rights, described in section 13 and in the refund policy.

1. Who we are and scope
These terms apply between TOPDIGITALLAB SAS, société par actions simplifiée with a share capital of €10,000, registered office 78 Rue du Petit Pont, 78180 Montigny-le-Bretonneux, France, RCS Versailles 912 345 675, VAT FR65 912345675 ("we"), and any person or company that orders our services ("you"). "Consumer" means a private individual acting outside a trade or profession. "Business" means any other buyer. By placing an order you accept these terms. The version in force is the one shown on the site on the day of your order.
2. Services and packages
We sell digital services as packages: web design and development, e-commerce, UI/UX and product design, branding, SEO and growth, mobile and web apps, and care and maintenance. Each package page lists its deliverables, its turnaround and its price. "Custom" tiers are priced by written quote. Only what a package lists is included. The description on the site on the day of your order is the description that applies.
3. Prices
Prices are in euros and exclude VAT. VAT at the rate in force (20% at the date of these terms) is added at checkout and shown on the invoice. Consumers see prices including VAT before they pay. We may change our prices at any time. A change does not affect orders already placed. Third-party costs, such as hosting, domain names, font licences, app store fees and payment provider fees, are not included unless a package says so, and are quoted or explained before you commit.
4. Ordering
You place an order by completing the checkout and accepting these terms and the refund policy. Placing an order is an offer to buy. The contract is formed when we confirm your order by email. We may decline an order for a legitimate reason, for example if we cannot deliver it at the requested time, and if so we refund anything you paid. Until real online payment is introduced, the checkout runs in test mode: no payment is taken when you order, and we email you the invoice for your deposit with the payment instructions.
5. Payment
- One-off packages: 40% at order, 30% at design or milestone approval, 30% at delivery, before go-live. Work starts when the deposit is settled.
- Monthly plans: the first month at order, then monthly in advance.
- We may withhold go-live or handover until the final payment is received.
- Invoices are payable by the method stated on the invoice.
- Businesses: late payment triggers a penalty at three times the legal interest rate, and a fixed recovery indemnity of €40 (Articles L. 441-10 and D. 441-5 of the French Commercial Code), without prior notice.
6. Turnaround
The turnaround shown on a package is the working time from kick-off, provided that you supply content, access and feedback when agreed. Delays on your side move the dates by the same amount. Dates are commitments of means and we tell you at once if one is at risk.
7. Your obligations
You provide accurate information, the content you are responsible for, and the access we need. You confirm that you hold the rights to the texts, images, logos and data you give us. You name one person who can approve work on your behalf.
8. Revisions and changes
Two revision rounds per milestone are included. A round is one consolidated list of feedback from you and one round of changes from us. Changes within the agreed scope, such as wording, colour and layout, are revisions. A new page, feature or direction is a change of scope. We quote it before we do it and start it only with your written agreement. Extra rounds are quoted before they start.
9. Approval and delivery
You approve milestones in writing; email is enough. Delivery happens when we hand you the final files, or when the site or app goes live, whichever applies to your package. Go-live follows the final payment.
10. Intellectual property
On full payment of the package, we assign to you the rights in the deliverables we created for you, for the world and for the legal duration of those rights. Third-party components, fonts, stock assets and open-source software stay under their own licences, and we tell you which apply. Until full payment, we keep the rights, and you may not use the deliverables in production. We may show the finished work in our portfolio if you agree in writing. We keep our tools, methods and know-how.
11. Monthly plans
- Care plans are rolling. Either party can end them with 30 days' notice, effective at the end of the notice period. The current month is billed and not refunded.
- SEO plans have a three-month minimum, then 30 days' notice on the same terms.
- Plans list what they include. Hours of small changes do not carry over to the next month.
- We work on sites we did not build only where we can obtain the access we need.
12. Warranty and liability
We commit to the standard of a competent professional in our field (an obligation of means). We correct, at no charge, any defect in a deliverable that does not match its description, if you report it within 30 days of delivery. We cannot guarantee search rankings, traffic, sales or the behaviour of third-party platforms.
Towards a business, our liability is limited to direct damage, and to the price you paid for the package concerned, and we are not liable for indirect loss such as lost profit. This limit does not apply where the law does not allow it, and it does not affect a consumer's statutory rights, including the legal guarantee of conformity.
13. Withdrawal, cancellation and refunds
- Consumers have a 14-day right of withdrawal from the date of the contract. If you ask us to start work within that period, you owe a proportionate amount for the work done up to your withdrawal. The right of withdrawal ends once the service has been fully performed, if you asked for it to start earlier and acknowledged that you would lose the right.
- Businesses have no right of withdrawal. Cancellation and refunds follow the refund policy: full deposit refund before kick-off, and none after.
The Refund policy is part of these terms.
14. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the project. This does not apply to information that is public or that the law requires us to disclose. We can sign your NDA before you share sensitive material.
15. Personal data
We handle personal data as described in the Privacy policy.
16. Force majeure
Neither party is liable for failure caused by events outside its reasonable control, as defined by French law. The affected party informs the other promptly, and the dates move by the length of the event.
17. Complaints and mediation
Write to support@topdigitallab.com and we will answer as soon as we can. If a dispute with a consumer is not resolved, the consumer may refer it free of charge to a consumer mediator. We give you the mediator's name and contact details on request at support@topdigitallab.com.
18. Governing law and courts
These terms are governed by French law. For disputes with a business, the courts of Versailles have exclusive jurisdiction, subject to mandatory rules. A consumer may bring a dispute before the courts of their place of residence, or of the place where the service was performed, as the law allows.
